  2. Foreigners are eligible to acquire a condominium unit on an individual basis with the following obligations:

    · The full amount of the purchase price must be transferred from an overseas account into Thailand and the transfer itself needs to identify the nature of this transfer (i.e. if you are acquiring 10 Million Baht condominium unit, the land office expects you to transfer no less than 10 Million Baht from your offshore bank account into your Thai personal bank account and specify the purpose of the transfer [e.g. To purchase a condominium unit at ....(providing full detail of the condo’s location)....]. When the name of transferor and the transferee are not identical, we recommended that you amend the designation of the transfer to read, “To purchase a condominium unit at ....(providing full detail of the condo)....in the name of ....(providing the name of the buyer)....]. Overseas funding must be verify by your local Thai Bank through “Foreign Exchange Transaction Form” also known as “Thor Tor 3”.

    · The Foreign Quotas limit must also be adhered to by the purchaser. The law states that 49% of the total area within the condominium building is allowed to be owned by Foreigners (e.g. if a condominium building of 100 rooms with exactly the same size, 49 of the 100 units are eligible to be owned by foreigners).

    If any one of the above obligations cannot be met, the Land Office will not permit the Condominium Unit Ownership Transfer to take place.

    In the case if the Buyer wishes to acquire the condominium through a juristic entity’s name (i.e. a corporation) The foreigner can own up to 49% of the total equity within the designated company as a shareholder. A foreigner is eligible to be appointed as the sole authorized director of the company.

    Coming around to some specifics in your question, it is strongly recommended that the Registered Capital of this designated company must at least match with the Declared Purchase Price. As the Registered Capital reflects the amount of money/funding available within the company, if you showed that you (as the foreigner) lent the company some money to acquire the condominium, the official would likely question the nature/source of these funds that the company has borrowed from their foreign shareholder/director. The land officer may feel that this company should thus be classified as foreign company and would therefore refuse to permit the condominium owner to transfer the property into the company’s name. In addition, the officer may request documentary evidence from your Thai shareholder(s) that they have in fact paid up for their share of the purchase price.

  3. A trademark in Thailand may be registered to either an individual and/or a juristic identity. When registering a trademark in Thailand you have to select the category and business sectors in which you would like your logo to be protected. The fees for the Thai Government for registering a trademark are based upon the number of categories in which you would like to be protected. If the chosen trademark is not formally challenged by the public and/or the Thai government during the comment period after it is officially published, the Thai officials will then approve the application. You can track the progress of your application via the internal serial submission number. Once the application is approved, the submitting party shall be considered as the owner of that specific trademark in Thailand.

    As previously mentioned, you must carefully select the category and business sector in which you want your selected trademark to be protected. For example, if you're seeking to protect a trademark in the healthcare products field only, another applicant could try to use the same trademark for restaurant or bar business, as your protection is limited to the healthcare business.

    If someone owns a trademark that another person wants to use in his business the original owner of the trademark would need to agree to transferring the trademark to a new owner. This is done via the Trademark Ownership Transfer process.

    If a foreigner is outside of Thailand but is still interested in securing a specific trademark he/she may have a Thai attorney (or even their designated Thai individual) to submit the application to begin the process of protecting the trademark. If the foreigner is not current in Thailand, the power of attorney would have to be executed in the presence of Thai Embassy officials.

    Businesses wanting a trademark to be registered under their Representative Office in Thailand, may wish to register their trademark(s) prior to the Representative Office Establishment. They should consider using a Thai attorney to begin the process so the trademark is in the process of being protected and then they can then proceed with the Trademark Ownership Transfer.

When planning to build a structural building, prior to the commencement of the construction, you are required to apply for a building permit, which you (and your architect) would be required to provide the blue prints (building plan including its dimension, material used) of the building to your local municipal council for approval. The Municipal would have their own team of architectures to appraise plan with respect to environmental and safety factors and as well as in accordance to the Building Control Act B.E.2522.

    Once you have been granted with a Building Permit and the construction is completed, you would then apply for a House Number/Building Number (i.e. House Registration Booklet) for the designated building.

    Due to the limited network between government sectors, the Land Office may not be aware that your designated land has a building situated on that property. Therefore, when you are processing the land ownership transfer, it is recommended to declare this information to the land office. If the Land Office later realize that that land has a building, you may punished for making false report to the government officials. For Bangkok such information would be online and available to the government sectors, but for other provinces, it may not, but their offices are usually located nearby and/or next to each other and it would be convenient for them to double check.

    The procedure would slightly be different in the case if that building was to be constructed as condominium, where each unit would be issued with a Condominium Ownership Certificate, this is where the Land Office (Property Survey and Measurement Team) would have to physically measure the size of each unit and to recorded that into the said certificate.

  5. A foreigner would not be issued a Work Permit in Thailand to be, among the prohibited occupations listed, a shop attendant. Simply being physically located behind a counter in a store doesn’t mean that your job designation is that of shop attendant. If you are issued a Work Permit to manage a business you may do all work related to performing that job so long as the task(s) fall within the objectives that were listed under the Work Permit. You are not allowed to perform tasks that fall outside the scope of the duties for which the Work Permit was issued (i.e. a restaurant manager would not be allowed to work as a cook unless it was one of the listed objectives on his work permit).   6. When starting a company here in Thailand there are several factors that dictate how you will be setting up your company. With the information you included in your post the most important factor sounds like it will be whether you will be exporting the products for distribution from a foreign location or will you be shipping the product directly to the consumer from Thailand. If you are purchasing the footwear from a manufacturer and then you will have the manufacturer export the products to a distribution center outside of Thailand you can simply place your orders and allow the manufacturer to handle the exporting. If you are doing the same thing but want to control how and when your product is exported thus saving money on the shipping rates then I would recommend that you form a 100% foreign owned Export company keeping in mind the only activity that this type of company can take part in is exporting of product. If you will be doing anything other than exporting the product, whether it be manufacturing, packaging, marketing or anything else in the support of the sales of your footwear then the only option is to set up a Thai company limited which must have at least 2 million THB in registered capital, at least 3 shareholders with 51% of the issued shares being held by a Thai national or juristic individual and you must have a proper corporate address which will include 1 work station and room enough for 4 Thai nationals to work for each work permit issued to foreign nationals.

    There is also the possibility of 100% ownership of your company under The Treaty of Amity (USA citizens only), the Board of Investment's (BOI) Alien Business License, or a Representative Office.

    This answer is based solely on the information from the post and there can and most likely will be many more issues that need to be discussed and rectified before the setup of your company. Businesses involved in the manufacturing and or export of product have a number of options available so as to best utilize tax advantages and export regulations having the complete picture of the corporate goals is the only way to get a complete answer.

You may also inquire from this site: http://www.bkkassay.com/eng/index.php as they also buy silver. Assuming that you are coming from overseas (as you are selling it on Engelhard bricks; it is mostly in grains for local sellers), your main hurdle will be the duty tax from importing these silver bars. It is generally subject to 35% Duty tax but depending on where you are importing it from, there are several Treaties (e.g. ASEAN, JTEPA) that renders the duty tax as exempt. The customs will require you to show the certificate of origin and the receipt from where and how much you have obtained/procured the product. The local silver dealers will also require these from you to show authenticity of the silver. You may inquire directly with the dealer as to how to proceed with the import. Most of them normally have import/export licenses and are quite stable on importing of silvers. Now assuming that you selling it locally through a registered company, you must have a license to sell these silver and official permission from the Ministry of Interior. Any income or profit derived from the sales of the silver from its original price is subject to corporate tax in Thailand.

If you are considering a purchase of a very large stone you may want to arrange for suitable transportation from one of the truckers in the parking area adjacent to the market. The Chatuchak Weekend Market can easily be reached via Bangkok’s public transportation systems (both BTS and MRT). It can get quite crowded so if you dislike crowds try to go in the morning.

    Prior to take any legal action, with respect to the 30% discount, you need to be certain whether the discount were only applicable to only the tuition fees, or registration fees, facility and equipment fees or the total. The information on the programs and its subject available in each semester would be indicated in the program description which would be provided along with the application form.

    The issue of mistakenly registered you onto a regular Masters Program, in my feeling you cannot go into that aspect, both you and institute have made a compromise arrangement. Before this compromise, you could have reported this to the Registration Office and/or the Registrar.

    In regarding to the standards and content of the course, you can report this to the Office of the Higher Education Commission.

    If you were able to prove that the school did not fulfil what they have promised you, such as the courses, the content, the fees, you can take this up to the Office of the Consumer Protection Board (OCPB).   12. Establishing a limited company in Thailand would seem be the most appropriate route for you. In order to work in Thailand a foreigner needs to have a current Work Permit. As an individual, you are not allowed to simply apply for a work permit. This means that you would not be able to work legally in Thailand unless a company in Thailand with the ability to hire foreigners (A Thai corporation, Amity Treaty Company in Thailand, Representative Office, etc) offers you a job.

    If you/your business only exports products from Thailand you are then eligible to operate this company with the majority of the shares being owned by a foreigner or foreigners but if you are performing any other service or function inside of Thailand such as those you have mentioned you must have at least 51% of your shares held by a Thai national or a Thai corporation. Alternatively, if your company provides supporting services to off shore companies and/or Thai companies you may also be able to have the majority of the shares being owned by foreigner if:

    1. To apply for an Alien (Foreign) Business License, with this route, you must be able to illustrate that the Thais (Economy, knowledge/educate the Labour Force) are benefiting from your business operation. Which means that your business must be highly advance, in the technology aspect.

    2. To apply for a BOI (under the category of Trade and Investment Support Office), but part of this requirement would be that in each year your designated BOI company must have over 10 Million Baht as company’s overhead and operating expenses.

    3. If you are a US citizen, you can apply for Alien (Foreign) Business License under the Thai-US Amity Treaty. This enable you to own the majority of the shares.

    4. If you are a Australian, you can apply for Alien (Foreign) Business License under the Thailand-Australia Free Trade Agreement, most of the permitted activities enable you to own up to 60% of the total equity, and few permitted activities would enable you to own nearly up to 100% of the total equity.

    5. If you are a Japanese, you can apply for Alien (Foreign) Business License under the Japan-Thailand Economic Partnership Agreement, depending on the type of industry, there are ranges of ownership percentage that permitted to Japanese in total equity.

    The minimum registered capital for a Thai Co. Ltd. (without BOI nor the Alien Business Licenses) that would be able to support a work permit for a foreign national is 2 Million Baht and you must have 4 Thai employees that have been registered in the Social Security Fund and are shown in the company’s PND 1 (Company’s Monthly Withholding Tax Filing). If you are legally married to a Thai national the requirement for the registered capital of 2 Million Baht could be lowered to 1 Million Baht.

    According to the Labour Department, when applying for a work permit they expect you (and your shareholders) to have fully paid up the registered capital at the time of application but in practice with the Ministry of Commerce and the audit issue they expect you (and your shareholders) to have fully pay up the registered capital over the course of the company’s first year. Paying up the required registered capital can be done in the form of cash, assets or services. The simplest methods of paying up the registered capital is cash. If you are paying by assets, you are required to provide full details of the assets, and their current value. While paying the required registered capital by service, you would required to illustrate the full details of services that you have previously provided and how they benefited this designated company. This can prove to be a very difficult procedure to get approved and it must be agreed and approved by the company’s shareholders.

  13. There are many factors that go into what one firm chooses to charge for a service versus what other firms charge. The most likely explanation for large differences in the costs is that you are not actually doing an "apples to apples" comparison. Some firms advertise the costs for services without including the charges you will need to pay for Thai Government fees and/or the taxes and/or the traveling costs. Some simply advertise the cost of doing part of a procedure (i.e. registering a name during a company registration process but not actually setting up a Thai company) but they do not advertise the total costs associated with doing the entire "A to Z" process. You should also ask the firms you are considering to provide you with itemized estimates along with the time frame for the process to be completed.

  14. Unfortunately, foreigners are specifically prohibited from working in Thailand as hairdressers or beauticians. Thai law provides in the List Annexed to the Royal Decree Naming Occupations and Professions Prohibited to Foreigners, B.E. 2522 (1979):

    The Alien Business Law (N.E.C. Announcement 281). Business activities falling in categories A & B are generally closed to foreigners...

    Category A:

    1.Agriculture: rice farming; salt farming. Commercial Business: Internal trade in local agriculture products, Land trade. Service business: Accounting, farming animals, architecture, advertising, brokerage, auctioning, Barber, hair dressing & beautician. Building industry.

    Foreigners are not restricted from owning beauty salons/spas or from managing them but they could not perform the duties of hairdresser/beauticians. Foreigners could advise their clients on cuts and treatments that are popular in New York, Paris and Stockholm but they will be restricted to the performing the tasks designated in their Work Permit. That said, if there are expats working for someone in Thailand as a hairdresser/beautician then they are probably doing so illegally and subject to jail, fines, deportation and blacklisting if they are caught.   16. 1. The previous owner owes some VAT to the government and are told it needs to be cleared off prior to the government allowing us to do

    the asset transfer. Assuming this is correct what will we need to take/provide in the way of paperwork or forms to make this happen.

    Answer: If the previous owner failed to pay the VAT then the Thai Government will seek to confiscate the company's assets. They will not authorize the assets to be transferred as they are the only way to assure that some or all of the outstanding VAT will be paid.

    2. Where do we go and what do we need to provide in order to file the the assets sale with the government so they are aware that OUR company will be handling the

    VAT, social fund, etc. and the OLD head office company is no longer listed anywhere in conjunction with the business name.

    Answer: If you have the proper documentation to start a new Thai company (including the landlord documents)

    then the old company owing VAT will not be your concern. This can present problems when the new company uses the same name/location as the former company

    that still owes outstanding VAT. According to the government if the Authorized Director of the former company did not register their changes of the

    company's address both with the Department of Business Development (Ministry of Commerce) and the Revenue Department. Both government sectors would still

    recognize that that former company would still exist in the designated premises. It should be noted for the Seller (Company that still owes VAT to the revenue department), in the case if the seller wishes to dissolve the company, they would not be able to as it would show on their record that responsibility(ies)/liability(ies) still outstanding.

    3. Finally how much tax is due on the sale of the company percentage wise and who pays it, buyer or seller?

    Answer: Depending on the type of sales if it's the sales of the company's asset. The Seller (the company) would have to take record the asset sales and would considered as income of the company. This is determined when the company filed the half-year or end of year audit. Whereas if it is the sales of the shares, the Seller (as the shareholder) would be liable of the tax, if there was a profit from the sale of the shares.
