  1. To have a completely procedure of due diligence, you need to have two difference teams. 1. Lawyer and 2. Auditor team. The reason is that auditor shall find out the fact regarding the accounting and confirmed with the lawyer that those transaction is legal or not. Also, the lawyer team can confirm to you the legalization on the documentation.

    As professional, both teams will give you the confirmation of due diligence in writing. Sure, you can come back and sue them, if there is some wrong because of their reports.

  2. I am buying a small guest house in thailand. I am paying 1m baht for it and the existing 2m baht company is included in the sale. The deal is that the 48% farang shareholder is transferring his shares to me and the thai shareholders have already waived their rights in the company. I am also keeping the existing thai employees on. Does anybody know if this would allow me to get a Thai work permit without needing to pay the extra 1m baht? The process would involve me arriving in Thailand on a normal tourist visa, possibly with a 30 day extension, Paying the 1m baht to the farang owner for the business, going to the solicitor to transfer the directors' shares from the current farang owner to myself, then flying to Malaysia for a couple of days to apply for the non immigrant B visa and work permit. Please can someone confirm if this is possible even though I am only paying 1m baht for a 2m baht company?

    Basically, you need to pay 2 million whether in cash or property to create the share capital of the company. Ok, here we go!, if you wanna know the fact, you can ask this question to your lawyer said "how's come ?" and the answer will be "It's ok because nobody (officer) will check the actual amount which paid to your company. Ha ha ! fun ?

    In fact, all paper works (company's documents) have been shown that your company is already having 2 million baht such as one million baht as cash (cause you paid for business) and another one million baht (which you never paid for) is a loan from you to the company (this figure shall be shown when fiscal year). So, your company is likely having 2 million baht (shown in document).

    Your question is that "this is possible even though I am only paying 1M baht for a 2M baht company?". The answer is "Yes, you do fine".

  3. You have 15 days.

    Your previous employer needs to notify your resignation and your new employer needs to apply for your new position.

    Ok, here we go!

    If your new employer is qualified to apply for your long term visa i.e. two million baht (registered capital supposing that they are a company), four Thai employee per one work permit, etc., so, you don't need to go out and get new non-immigrant visa.

  4. Reason to have a long stay: In case of having Thai Wife (husband foreigner)

    Consideration:

    1) having non-immigrant visa

    2) having proof of relationship and having relationship both in fact and in paper :o

    3) having averange income whether from husband or wife or altogether not less than 40k per month

    4) in case of having no income as above but entering into the country before 1 Oct. 06 and been granted to have long stay based on the married staus continously, the 400k in bank account (under the name of husband or wife or join account) must be shown at least 3 months

    Document required:

    1) Application Form

    2) Copy of passport of the applicant

    3) Copy of document of proof under (2) above i.e. married cert., house registration, etc.

    4) letter of verification, issued by the commercial bank and copy of bank statement or official document to proof the income of husband or wife or both not less than 40k a month i.e. annual tax return form with its receipt, pension proof, interest proof or proof of any income.

    From the above

    Clearly that any income can be used not only the pension.

    But, still in doubt:

    Can 400k still useful for the new applicant or only 40k income can apply?

    Can anyone check that out?

    and how it will affect the 90 day calculation?

    Passport holders from 39 exempted countries will be able to enter into the Kingdom of Thailand without visa and remain in Thailand for 30 days per each visit. However, the total duration of stay should not exceed 90 days within six month period, counting from the date of first entry (effective date 1 October 2006).

    Crossy, I wonder if my cash in my Thailand retirement fund would work to meet the O requirement in a pinch? Or does that 400k need to be documented as imported money?

    400 k doesn't need to be transferred from outside country. You are able to use your retirement fund here in Thailand to apply for long term visa as married. The thing is that they want to see that you are able to survive here in the country. However, it is required to show your bank statement 3 months backward on the date of submission of application because they don't want to just borrow 400 k from somebody to qualify to have a long term visa as married.

  7. Cheers for that reply. i have herd of that, but like many ideas i'v read about over the last few days i want to hear from somebody who has actully done it, so i know for sure it will work for me.

    i'v just come back from imagration nere chiang mai airport. they said

    measai border is only open in the mornings and only giving out 10 day visa's so why dont i get one here?

    so 1900baht and 15mins waiting i have now got a 10 day visa, i'll see what happens in the next 10 days, i hope they chuck in the bin.

    So, even maesai border is closed but at the immigration in Chiangrai, you're gonna get 30 days stamp! this was confirmed by two guys outthere. Let's call them to make sure that you're gonna get 30 days extension.
