  1. As is typical, the reporting on this is incorrect. The young boy was not driving, he was a passenger and not related to the other men.. The two other men, one was a Brit and one was an American. The Brit was driving.

    And we are so quick to blame the other guy (driver of truck) when it seems to be a Thai involved. I do not believe it to be the case here.

  2. They are held accountable because they own the well..... Bu they did not build the well.... My point is that if you want to point fingers at poor safety practice, point them at the people that built it!

    I am not Thai and have lived many countries. And everywhere there are shady business people. Actually in my experiences in Thailand, the really shady ones that have ripped me off personally are other farangs....

  3. I am guessing that this would not go thru. If land is involved you would probably get away with maximum 39% shareholding.

    Also, I would think that Thai shareholders would have to prove financial ability to own shares in company.

    Can be set up with you have 39% of shares, but you have multi voting common shares. The rest have single vote preferred shares. DUal share structure, completely legal.

    Mind you, the other shareholders (ex-wife) would not have any control what so ever on the business.... May not be terribly appealing for preferred shareholder...

    Just my two bits from a person who also owns hotel and did it this way.....

  4. DO we have an answer about GPS and the 7" screen. I juts bought a sport and got the GPS included. STupid me I assumed it was integrated into the touch screen. That was what the brochure showed and what I assumed (to my detriment). Now I am getting a hand held alpine unit included. Can it be integrated into touch screen?????

  5. For a work permit to be valid it must state the address of employer or location of company on page 22. If a person works as a contractor or consultant for a given company but actually does the work at various client locations (for extended periods during the year), how is that handled?? Does each actual work location need to be added to page 22 so that no matter which location they are at they are covered by the WP? This is a sincere question looking for feedback.

  6. I think that my proposed comapny structure would be ok because the 2 other Thai shareholders would be active partners in the guesthouse business, not acting as nominees.

    Are you saying that your Thai shareholders (active partners) are going to reach into their pockets and come up with at least 51% of the share / operating capital.

    Registered capital only has to be 2,000,000 baht so if they are legit, should not be an issue. Then foreigner can loan money to company to expand business. Again, totally legal.

    From somebody who has actually done it, it is absolutely legit way of doing business. I have company with 61% real thai shareholders but I have control via share structure. And yes it is a business and a small hotel to boot. With land, buildings etc. owned by company. This was done after all the big noise about nominee's etc. My lawyer was worried we could not do it and would need to try some other tricks. But, I insisted that what we were doing was legal and my two Thai shareholders are financially well off enough to pass the land department scrutiny and interviews etc..

  8. In general, most companies do an annual review. Some do 6 months, but very few. As far as increases go, it depends on many factors. So difficult to give a general answer. Many companies set a budget for increases that may be a percentage or two above inflation. Over the last few years, excepting last year this would result in averages of 6-8%. I am firm believer of paying for performance so I would end up giving top performers in this scenario 8-10% and poor performers 4% and very poor performers 0% in the hopes they would take the hint and improve or decide to leave. Easier in Thailand to convince someone to leave than to "fire" them.

  9. In general, an increase is given after the end of 3 month probation period. But this is only if stated in the orginal employment letter. Otherwise it is an annual review of salary. Either annual by company (ie. all employees on the same date) or annual per the employees start date. Given the current economic conditions and assuming your business is going no better than most, no increase would be expected. This assumes that you have communicated well with employees and they know the state of the business....

  10. I set up a limited company about 6 months ago from scratch. I have already purchased commercial property and done everything 100% legit. I have thai sholders with majority shares but I have majority voting rights. My Thai shareholders are people of fairly good standing and backgrounds so it was a lot of paperwork but not too bad. Had a great lawyer who really helped me. Not one of these ones that you see advertised on websites/newspaper etc. that people complain about (or so it seems)

  11. I am in the process of a re-tiling process. I have 6, 36sqm rooms that need to be completely re-tiled, including the bathroom, floor to ceiling. I am going to purchase the tiles myself, but need a contractor to remive old tiles and do the complete tiling job. How much per square metre should I be paying?? This is in the sattahip-pattaya area.

  12. Just got back from land office in sattahip. Have thai company with farang director and 39/61 common/preferred share structure. Multi voting common shares etc. Purchased property in company name with debt/equity of 4/1. Have Thai shareholders (2) both of which I have known for 5 years and have good jobs. No problems arrive 8:30 am and finished by 11:30 with everything done and in new company name. I have faith in system. If you follow law and are legitimate for business, it can work. No need to pay anybody pocket money and used my friend from Bangkok as lawyer.
