I am in the process of negotiating a contract to purchase a business on Sukhumvit.  The cost of the acquistion is THB 18,000,000.  I am plannig to acquire the company which holds the  business.  Any advice or recommendation for a lawyer is greatly appreciated.  I also would like to ask the forum members to let me know what is the approximate cost that I should expect for legal fees.  Thank you in advance for all who comment.

You surely realize that as a foreigner you can only hold 49 percent of a Thai company unless you have permission from BOI otherwise.

the other 51 percent must be held by Thai. It’s often some shady lawyer’s gardener’s sister in law or similar with a house book in Chiang Nowhere with already signed transfer documents to be acquired at will by another Thai later.

the cheaper your legal fees the less likely your nominiere will ever be known to you.

it is also illegal to use a Thai nominee shareholder structured. .

Doing business since 2006 in Thailand (mostly under BOI).

Last year, a Thai group stayed in one of our villas - after check out the villa was left in a really bad state.

Appropriately, we gave him a poor review on airbnb - a simple 2 sentence statement that the villa was left very dirty and they didn't respect the place.

Now, months later, we received a court summons - the guy *who is a lawyer* accuses us of ''defamation through advertising is despised and hated.'' He said that because of our review, other hosts are not accepting his bookings.

Erm, that's the whole idea of the airbnb system!!

He is seeking damages of 300,000 baht. Yes, you read that right, 300k. For a 2 night stay which we got 10k and a filthy villa from.

Welcome any comments from anyone who has been in a similar situation!

    Thanks guys

If the court accepts the case you will have a criminal defamation suit on your hands.  Loss of workpeemit if you have one. Visa will be changed to court visa and you will need to relinquish your passport.

you might just have to settle this for an amount acceptable to the plaintiff.   Legal fees can easily run into the millions and no guarantee. Even if you win the case you aste 3-5 years of your time.   Good luck. Google JTJB law if you need a good lawyer. Prepare to pay big bucks.

It will certainly enhance the cultural perception of Thais being completely ignorant and „superior“ people.

In this day and age we should promote sharks, not display a man versus shark depiction.

This essentially encompasses the stupidity of humans, and in this case the ignorance of Thais in general

Here is a ChatGPT’s kinder and more diplomatic response to the situation:

"Thank you for sharing this proposal. It's important for any cultural and tourism initiatives to be considerate of the message they convey. Perhaps a statue that celebrates the coexistence of humans and marine life would better reflect the harmony and respect for nature. This approach could be a positive way to promote awareness and appreciation for the natural world."

Why is this big biker in the video riding his BMW like a 90cc miniscooter, on the outside edge white stripe, along the inside of a blind curve?

Exactly my Q.  I never ever give anyone even the chance to catch up with me. Never mind allowing a pickup to pass me.  Likely a slow going group. Sometimes speed kills.  In Thailand often slowness kills.   As a bike you block the lane. First thing they teach you.  Second thing they teach you is to always keep a safety bubble.  Bikers know what that means.

In October 2023, a video went viral on social media, purportedly proving that U.S. President Joe Biden behaved inappropriately with a minor. "She was 12, I was 30," one viral post captioned the video, citing his alleged remark at a public event.

"I'm definitely not surprised ???? he is a weirdo," one X (formerly Twitter) user commented. A post from September 2022, with the same video and caption, received a comment that read, "When a pedophile TELLS you he's a pedophile BELIEVE it! #PedoHitlerbiden."

Do another TM30 in person, explaining you are still at same address.   It should be accepted automatically as Immi have wiped all old records and instigated a new online system.  Tell them the landlord will not comply and they should come down hard on him.

It’s. It the landlords job to do TM30. How is a landlord supposed to k own when a foreigner comes and goes from the apartment overnight ?

Tenant is the possessor if they have a lease.

  7. TM 30 needs to be done by the „house master“, or „possessor“. The landlord owner cannot know tenant and guests‘ comings and goings unless you want the landlord to install  an access system and video surveillance.

When you sign a long term rental, the tenant becomes the house master and needs to report TM30 according to the law. Or skip it as many do.

agents can assist.  Landlord can assist. But ultimately it’s the tenant who holds the key to the property and controls access to the property by other family and friends. Landlord can’t handle those reports.

Are you sure about that? Sansiri is a development company

Absolutely sure.  Do you want to see the stacks of court papers?   They are a developer and also operate rental for holidays and have hotels.

the Thai legal system gives plaintiffs all the  tools to make life extremely uncomfortable for anyone who dares to complain.  Most have the decency to work things out. Sansiri isn’t one of them (in our cases).
