  15. It is all about naming your business, some business owners call their business as a resort, some call as a hotel, motel, guesthouse, service apartment, etc.


    The government determines whether you are a hotel or other type of hospitality service (Apartment) by the nature of its accommodation service. A hotel is defined as providing accommodation on a short term basis (less than a month), apartment long term If you have a mixture of long and short term, then it would be considered a hotel.



    Hotels are required by law to make a daily report to Immigration of the number of guests staying for that night as well as name, passport number etc. There are fines if this reporting is not done.



    Criteria for applying for hotel license are:


    1. Building type (must be concrete)


    2. Purpose of the hotel (must serve the accommodation purpose for tourists (locals & foreigners)


    3. Location (must not be situated near the school, temple/religious place, governmental offices [at least 100m away], must be convenient for inspection, entrance must not cause traffic congestion)


    4. Parking lot – must have sufficient parking space, parking space must be separated from the accommodating place)

    1. Room rental rate charging for no more than 40 Baht will be incur a government fee of 10 per room

  20. It is better to close the company down and make sure it is done properly so that no future problem could arise. The cost for closing down a company is approximately 50-60,000 Baht depending on the annual audit. If you decide to close today, apart from the 2012 year end audit you will also have to complete the 2013 (January) audit as well.

    But should you keep the company idle and await for someone to buy you out or simply just take over your share, relieving you from the responsibility of being a director and a shareholder then it would depend on how quickly you could transfer the company. If you look for a buyer you will still need to file the annual and semi-annual audits.

    I’m assuming that your company is also equipped with VAT, which means that the company has a monthly responsibility of filing, even though it is completely idle Failure to file the VATwill also incur late submission fees.

    These days, information is linked between the Revenue Department, the Department of Business Development and Police.

    Usually, they try to contact you to settle the any outstanding penalty payments. If you refuse to pay then you could be blacklisted or more importantly, you may find you can't leave the country if you are a director of a company that owes taxes. We have represented a client that had this happen; they were flagged at the airport when trying to leave.

    It might be in your best interest to dissolve this company permanently, then you would not have to worry about leaving or returning to Thailand.

    The cost of dissolving a company is approximately 50-60,000 Baht, and would take approximately 3-6 months to complete (depending on the liquidation process – if any).

  21. As the Company Headquarters are in Bangkok it is possible to add branches in Bangkok without having to travel to the Province where you plan on opening the new office. It requires three steps however, first the new address must be registered with the Department of Business Development and shareholders must be notified and a meeting held, then it would need to be added to the VAT registration at the Revenue Department and finally to your work permit at the Labor Office.

    Total government fees would run around 1700 Baht for all three but it would require several trips to each office. However, please note that there would be duty stamps to be pasted on the lease agreement, which will be total lease value divided by 1,000 Baht and courier fees to notify the shareholders.

  24. As a foreigner you must apply as a Juristic Person. This is the best option for a foreigner who wishes to set up a travel and tour business in Thailand. A Thai company has to be set up first and then the TAT license can be applied for afterwards. The conditions are as follows:

    A. Registered under Thai Law;

    B. Have the appropriate Company Objective.

    C. Juristic Person Partnership and all of unlimited liabilities must be of Thai Nationality.

    D. OR a Limited Company and Public Company Limited, Not less than half of directors must be of Thai Nationality and not less than Fifty-One percent (51%) of capital must be owned by natural persons that are of Thai Nationality. Nominees will not work.

    At the TAT office it is also likely that they will request the ID Card and House Registration of the Thai individual as well as pictures of the office that is being listed as the Company Address.

    Last but not least you must produce a surety fund of between THB 100,000 to 200,000. The company can make this payment using a cashiers cheque or in the form of a surety bond. This amount, though, is flexible and will also depend on negotiations with the relevant Officer at the TAT office.
