I used the service about 3 years ago. We stayed at the Club Dolphin in Negombo.

Every Condo should have clear written limits for the approval of expenditure.
In our case they are:
Building manager - 2,500 baht
Committee Chairman - 10,000 baht
and anything above 10,000 baht can only be approved by the whole Committee.
Nothing can be ordered without a completed purchase order signed by someone with the required authority.

If money no object - I would say Manhattens
If value matters - Mata Hara and Cafe des Amis are almost as good but significantly cheaper

It certainly is not true that the of the Philippine is prone to Typhoons.
I think that you are talking about Samal Island which is very close to the city of Davao. Davao always advertises itself as "Typhoon free"

You need a work permit to work in Thailand. You are working in Thailand if you are in Thailand when you are working.
Potential penalities are fines and/or prison and/or deportation

minimum 10 days+all bank holidays+30 days sick leave = alot
I thought minimum is 1 week (6 days) plus public holidays

You have to make her a fair offer for her shares in the business and then transfer them to a Thai you can trust
You say that you have worked hard to build the business. You need to remember that the business you were building was hers and not yours and she is entitled to the value you created for her.

They generally close on Thai public holidays (such as Monday) so could just be this. However, the way in which they seem to use any excuse to delay payments to clients suggest that they might have serious financial problems. It would not be a surprise if at some point this could not continue.

Never heard to 10 year term. I think just wishful thinking on your behalf.
You did not say whether there is a Committee in place or exactly what position the developers resigned from. There are three separates post that might be relevent.
Committee - Any committee member can resign at any time. If a resignation leave the size of the Committee below the minimum specified in the Condo Act (at least 3 members), a general meeting must be hold to appoint replacements. Otherwise replacement can be elected at the next AGM.
Justisic Manager - Can resign at any time. If there is a vacancy then the Committee must appoint one of its members to act on an interim basis and a general meeting to appoint a perminent replacemwnt must be held within 60 days.
Building Manager/Management Company - Notice period will be specified in the contract if one exists. Our contract have always allowed for termination by either side with one month's notice. Generally the Committee can appoint a replacement without the need for a general meeting.

Is your Juristic manager automatically on the committee with a vote?
I know a condo must have a juristic manager but what happens if one resigns and nobody else will do the job?
No Juristic manager is not automatically on the Committee. There were separate votes to appoint and Juristic manager and the Committee. it was just that the same individual was selected for both posts.
Where there is no Jursitic manager, under the Condo Act the Committee can appoint one of its member on an interim basis with a General Meeting in 60 days to appoint a replacement. I am not sure but a guess that if there are no nominations then you appoint another Committee member on an interim basis and continue having General Meetings until someone can be found.

The main stop is in the car park of Foodmart in front of View Talay 1. Very easy to get a baht bas from there into Pattaya and along 2nd road.
Last time I used the services it made stops on Sukhumvit by Central Pattaya Road and South Pattaya Road.

There is no reason why the Juristic Manager cannot be on the Committee and have a vote.
In our Condo the Juristic Manager is the only Thai member of the Committee (the Juristic Manager need to be Thai or have a work permit)
If the Juristic Manager resigns then the Committee appoints one of its member to act as Manager on an iterim basis but there must be a general meeting to select a new manager within 60 days.
A condo cannot function without a Juristic Manager as they are legally the only person able to enter to sign documents or enter into contracts on behalf of the condo.

300 baht per square meter per year with a 5% discount if paid in full by 31 December of the previous year

My best guess is that she decided not to make to trip for reasons she does not want to tell you and just made up the story about being turned away at immigration

I would also have said 4,784 baht per month but our manager says 5,520 baht.
Not a big deal - our lowest paid staff get 5,400 baht and will get an increase in April- but just wondered if anyone knew.
I guess the question is are compulsory rest days paid or unpaid?
-
In Chonburi minimum wage has just been increased to 184 baht.
If staff work 6 days per weeks and are paid monthly is the minimum
26 days * 184 baht = 4,784 baht
or 30 days * 184 baht = 5,520 baht

You will be buying a minority shareholding in the company and entering into agreements with the other shareholder which give you effective control.
The key issue will be how to ensure that the company has no liabilities that you are not aware of.

Rimini would be a good example of a`Mediterranean (in this case Italian) seafood restaurant. Near the far end of Jomtien beach road. Same owner as Gian's in Chateau Dale Plaza. Maybe a little overpriced but good.

The girls can stop working at any time - just ask the owner of any go-go how many staff simply failed to turn up without any notice the day after pay day.
However, very common for a bar to ask for money if a girls wait to go to stay with a falang.
The normal arrangment is a 50:50 split of any money received between and girl and the bar and an absolute guarantee that the girl would be re-empoyed should the relationship end

Bodhi
Just to add to my previous post. I see that they have ask you for payment but not a sign the accounts. This should be a big warning sign. Who was able to sign the company accounts? It is important that you the only person able to sign on behalf of the company otherwise the company could enter into any type of contract without your knowledge.

Quite used to small UK companies not needing any accounting input and annual costs being around £20 per company, I was surprised how much running a company costs in Thailand. I suspect a large amount of that cost is because your regular guy does not possess the skills whereas your regular Joe in the UK can add up, subtract and divide.
The big difference is that all companies in Thailand are required to have an audit done. There are relatively few registered auditors and that all seem to impose minimum fees however simple the work is. Small UK comanpies have no audit requirement. The other thing is the tax forms required by the revenue department. When you sign the annual accounts and tax returns there is a lot of paperwork. Add to this some of the new measures to avoid the use of nominee companies eg you legally must hold an AGM, advertise in a newspaper the date of AGM etc.
