It has to be functioning company with 4 Thai employees to apply for work permit that is required to get a visa.

JackThompson
Although I think the Elite Visa has a cash-up-front sticker-price well beyond market-value in the region, it would likely be cheaper than the costs of a non-profit making company which would meet your friend's visa-needs. There is also the investment-option to obtain a visa, requiring 10M Baht in certain types of investments - money/investments he could keep, even if he decides to leave at some point down the road.
Popular Post BritTim
If your friend has US nationality, it may be possible, with the help of a good lawyer, to establish a sole proprietorship under the Treaty of Amity between the US and Thailand, and get a visa/work permit as the proprietor. It would not be easy. Outside that possibility, forget about trying to jump through the hoops needed to establish a Thai company and get a visa through it. It is complex and costly.
