Conflict Of Interest

We often see the phrase "ผลประโยชน์ทับซ้อน" to mean "overlapping interests" or "a conflict of interest" used in a negative sense.

The Thai version of Wikipedia contains the following definition:

"ผลประโยชน์ทับซ้อน คือภาวะที่บุคคลซึ่งอยู่ในสถานะที่ต้องได้รับความเชื่อถือ เช่น นักการเมือง ผู้ให้นโยบาย หรือผู้อำนวยการบริหารของบริษัท มีผลประโยชน์หรือความต้องการทั้งในทางอาชีพ ในบางครั้งรวมถึงเรื่องส่วนตัว ที่ขัดแย้งกัน ความต้องการที่ขัดแย้งกันนี้ทำให้เกิดความลำบากในการทำหน้าที่อย่างยุติธรรม แม้ว่าจะไม่มีหลักฐานเกี่ยวกับการกระทำที่ไม่เหมาะสม ผลประโยชน์ทับซ้อนอาจจะทำให้เกิดภาพที่ทำให้ความน่าเชื่อถือของบุคคลนั้นในการกระทำที่เป็นกลางลดลง"

"ผลประโยชน์ทับซ้อน means a situation in which an individual in a position which requires trust and integrity [like a fiduciary], for example, a politician who sets policy, or a managing director of a company, obtains a or benefit or fulfills an internal need from a professional relationship. Sometimes this includes a personal advantage which is in conflict with [the company or fiduciary benefit]. These conflicting benefits make it difficult for the individual to perform his function in an even-handed and fair manner. Even though there may be no evidence of the fact that an action may be inappropriate, the conflict of interest itself may create an loss of confidence in the individual's ability to perform his duties."

First, is this a correct rendering of the Thai definition?

Second, can the phrase be used in a positive sense of obtaining a dual benefit from a single action, such as,

"การให้ทุนเรียนหนังสือแก่นักเรียนมีผลประโยชน์ทับซ้อน หนึ่งช่วยเหลือครอบครัวของนักเรียน และสองช่วยเหลือสังคม"

"Providing scholarships to students provides a dual benefit; first the scholarship assists the student's family and secondly, it benefits society as a whole."

Or is "มีผลประโยชน์สองประการ" more appropriate in this usage?
