I don't believe a Minor can be a Shareholder in a Company - certainly a Minor cannot be a Director.

Setting up a Company "for no specific reason" (by which I guess you mean the Company will not be doing business?) is a fairly pointless and expensive proposition. Quite apart from the set-up Costs you will need to inject Paid up Capital, you will also have to submit monthly VAT Returns - even if these are blank - plus half year Profit forecasts and produce end year Accounts which must be professionally Audited - again, even if there are no Sales - all of which will probably cost you somewhere in the region of Baht 40,000 per year.
