A Couple Of Quick Questions

I was planning on opening a restaurant here in Thailand. To do so I'll need to set up a company, correct? And I'll need to have 7 shareholders correct? However, does the American Amity Act preclude that requirement? I also have some confusion about the actual funds that are need to set up the process. I was planning on creating the company with a total of 3 million bhat. How much of that will be tied up in various government fees/accounts prior to even getting the restaurant up and running?
