I am confused by this sentence in Lexitron:

"ผู้ถือหุ้นของบริษัทพากันสละสิทธิ์และมอบอำนาจให้กรรมการบริษัทนำหุ้นไปจัดสรรให้ใครก็ได้"

Should the sentence be parsed out into clauses as follows? (The parenthetical words have been inserted to clarify the meaning)

Clause A: "ผู้ถือหุ้นของบริษัทพากันสละสิทธิ์" – The company's shareholders all gave up their rights (which were granted to them via holding of their shares)

Clause B: "และมอบอำนาจให้กรรมการบริษัท" – and empowered the board of directors

Clause C: "นำหุ้นไปจัดสรรให้ใครก็ได้" – to take the shares (of the company shareholders) and allocate (these shares) to whomever they (the members of the board) wished.

1. The word ให้ can have a number of meanings, in this case, either a. the verb "to grant"; b. the verb "to allow"; or c. the preposition "to" or "for". It seems to me that the ให้ in clause B is more likely "to allow" and the full verb phrase is "ให้ . . .นำ . . .": "to allow the members of the board to take the shares . . .". However, I am not sure and would like some opinion here.

2. The word "ให้" in Clause C seems to be used in meaning c., that is "to whomever they like". Confirmation?

3. In Clause C, what is the subject of the verb "นำหุ้น"? The subject of the verbs "สละสิทธิ์" and "มอบอำนาจ" in Clauses A and B respectively, seems to be "ผู้ถือหุ้น", whereas the subject of "นำหุ้น" seems to be "กรรมการบริษัท". Is this correct? It would be clearer if the word "เพื่อ" were added at the end of Clause B, would it not?

4. I would appreciate if anyone has a different view of how this sentence should be parsed.

I would prefer to not to get into English with subjunctive clauses, principle verbs etc. because I don't know what those are, also those discussions tend to lose the thread.

So, It means to me that the Shareholders devolve their power to the board to allot shares to whomever they wish. Which in real life they don't, unless they own them themselves, So it doesn't make sense. I know that this only replaces your question but perhaps you wouldn't mind going back a little.

If they are shareholders, then they do own them.

In "real life," people also relinquish their power, with astonishing frequency.

Hi David, your parsing of the sentence looks correct to me - I don't know exactly what จัดสรร means in this context though. :o

1. Agree with your interpretation.

2. Agree with this as well.

3. Yes, the indirect object of clause b is also the subject of clause c, and yes, the sentence could be made clearer in the manner you suggest.

I'd like to clarify that the shares which the shareholders of the company have given up their rights in this sentence is 'share subscription' or 'หุ้นเพิ่มทุน'. When the company issues share subscription with the higher price than the price in the stock market, the shareholders would give up their rights on buying these share. So, the board of directors has to try to sell them to whomever is interested in investing on this company under the consent of representation given by company's shareholders.

From this sentence, if you want to separate it, it would be;

ผู้ถือหุ้นของบริษัทสละสิทธิ์ - The company's shareholders gave up their rights.

ผู้ถือหุ้นของบริษัทมอบอำนาจให้ใคร , มอบอำนาจให้ทำอะไร - The company's shareholders empower SOMEONE to do SOMETHING.

From this English structure, do you think what the subject is?

You can either add "เพื่อ" in this sentence or not, the meaning is still the same. But it's kind of redundant.
