Hello,

Can anybody confirm what the requirements are for a Thai Ltd Co. registered address.

Does this have to be a physical office or could it be a room in a residence (house/apartment).

Once a Thai Ltd Co. is formed, can the registered address be changed at some future point.

Generally speaking it is possible to register a residential space as an address for your Thai company limited. However, you will need to provide a wide range of documents including a letter of consent from the landlord and approval from your building management prior to such an arraignment being approved.

Registering your company under a residential address affects your TAX ID and VAT registration. Just the same, the documents needed for registering under VAT system are the following:

From the Landlord

Letter of consent from your landlord

Copy of ID card and House registration of your landlord

Copy of the Condominium Unit Certificate/Title Deed

From the Lessee (your company)

Company's affidavit

Copy of the passport of the Company's Authorized Director (in the case of foreigner director)

Copy of the Authorized director's ID Card and house registration (in the case of a Thai director)

Pictures of the office (the condo unit) – pictures must cover the following aspect – the illustration of the company's name by the condo unit number, actual office

Map to the office

Lease Agreement (between the designated company and the Condominium Unit owner [Landlord])

And for your own interest – clearance from the Condominium Juristic Management (if condo/apartment) permitting you to use this condominium unit as your company's address.

Similarly, if you should use a residential space as the company address and have fulfilled the requirements above, you must actually convert a portion of this residential unit into an office equipped with office table, chair, telephone and possibly a computer and a banner of your company depending on the type of work being done. As per work permit requirement, you are also required to hire 4 Thai employees per 1 foreigner/work permit applicant. There are some cases where the officer may approve the employment of fewer than 4 employees this is determined on a case by case and is at the discretion of the officer. At the physical location of the office you must allocate space(s) for the employees that will be hired by your company. For most companies, using their office space as a company address is highly recommended as it is more convenient and efficient. For instance, most serviced offices come already equipped with furniture/fixtures and the landlord provides the renter with the required documents for registered companies in Thailand.

You may, however, change the address of the company at any point in time once your company has been officially registered. This process takes roughly 2-3 weeks after the initial 14 days allocated for announcement in a newspaper informing the public of the change in your company. A change of address usually affects four things, namely: address in Company Affidavit, address in Tax ID and VAT Registration, address in Work permit, address in Social Fund Registration and in some cases licenses (if any).
