Hi,

I am an International School teacher and want to ask some of you experts about a complex topic:

I and a friend wish to start a small company (teaching English) however we both work in an international school and neither of us wants to give that up. Can we own a company whilst having Non B res visa and work permit for our school? Or do we need a business visa ASWELL as a our Non B visa? ...or instead of?...but still able to work in our school?

There is also a Thai national who will be co owner (so 2 western and 1 Thai). How much ownership does the Thai national have to have as a minimum?

Next: Can we work in our own company with our current school work permits, or do we need additional ones - is this even possible to have two?

Any information most welcome,

The non-B visa is a business visa so you are covered there.

The Thai co-owner must own 51%.

You will need 2 million in capital per foreigner and a ratio of 4:1, Thai:foreigner employees.

You must ask permission from your current employer to put up another employer/location on your WP.

You can do it with your current extension of stay that I am sure you have it is not a visa.

For it to be a Thai company it would have to be 51% Thai.

You can have a 2nd job on a work permit with permission from current employer. But each person would need 4 Thai employees to get it done and registered capital of 2 million baht.

Whether or not you need an additional 4 thai workers at the other company is up to the local labor department. many labor departments don't enforce it on the 2nd company when you have it on the first. I speak from experience.

Thank you all for your replies. Very helpful. Dooes the 2,000000 capital need to be constantly present in Bank account or can it be a temporary thing? I am seeing a company called Sunbelt Asia who set up company registrations and so on. Anyone heard of them? Do they do 'short-cuts' and if so are they legal? Also, if I set up a business registered in UK, could a Thai company pay to that English company? And could that English company function / work in Thailand as an outsourced expertise? If so do the same rules apply - does an English company functioning in Thailand need to have 4:1 ratio of Thai - foreigner? I thought that English teachers could be English and that was an exception due to the nature of the work. Also, it is not a school but providing a language tuition service to a (very) big company. Last....how does the incoming ASEAN situation change things come July 2014?

I had my own school years ago and trust me you have no idea how many things you need to open one and pass the MOE's requirements: Window size, emergency escapes, Men & Woman's bathrooms, enough light in the classrooms etc. etc. etc.

Took me ages to do but eventually it worked out. If a window is 2cm small they will tell you to knock it out and put in the required size etc.

We will not have a premises and are required to provide an in service to a company, in their training premises. If they have a training premises then I assume that they will have already apssed the required 'tests' to be able to train people in their location?

Perhaps if it is only one company you are providing your service for, you would be better to just work directly for them and get a work permit through them. Having your own company can be a big hassel.

Sounds like an interesting idea. We think we will have more than 1 company to provide for but not for first year. How could this work? I have a w-permit aleady for the Int School I work in, so I guess I just add the second company onto itmwith their permisson? How would I get paid? You are talking significant amounts here that would vary greatly month by month. Can I be paid directly from them (as an employee) on freelance basis, or pro rata for work done?

As freelancer you will need a company. If you want to start a company it is best to start to look for a good lawyer and do more research on the rules for teaching.

Do not assume anything this could be very costly.
