Who is the shareholder of a Ltd company?

Featured Replies

Hi!

I am about to do some business in Thailand from abroad. Through DBD.go.th I have found out two of the board members. However, according to the site it owns half from Thailand and half from a second country. I would like the name of the shareholders. I tried to call DBD but came to an answering machine. And my thai language is not very good so I don´t understand what they say. Maybe I called too late and the office was closed (4.40 pm local)?

Anyone knows how I can find out the names and/or SSN of the shareholders? Is it public?

Best,

Johnny

I have no idea what you are asking. What does this mean:

"it owns half from Thailand and half from a second country"

The names of shareholders will be listed by the DBD.

Why do you think Thai people have SSNs? That's a US thing.

Is what public? The information? The company?

Please try asking again and this time please be clear and precise. You have a greater chance of receiving an answer if we can understand your question.

You can get the incorporation documents , audit financials and the current list of shareholders. I used a lawyer to do it for me.

Get a lawyer as it saves you time and you should be able to get it within 1-2 working days.

Hi! Sorry if I was unclear. The question is:

According to http://datawarehouse.dbd.go.th the company is owned by four people (Three Thai and one from Europe). I would like to know who these persons are. How can I do this?

I have created a login at http://datawarehouse.dbd.go.th but as far as I can see I can only see the names of the board members and not the share holders.

blackcab: I have registered at DBD but can´t see the shareholders....are u sure I can access this through the site? Can´t even see a button to pay....

Unless the law has changed, a Thai company requires at least seven shareholders, albeit most a minority.

3 shareholders is the minimum.

Ultimately you will probably find that the directors are the shareholders.

Even when you establish if this is or is not the truth, what are you going to do next?

When you get the online (or paper) documents they will have the Thai director's ID numbers, but unless you know someone who can access government databases, what are you going to do with the information?

What do you mean by finding out who these people "are"?

If you don't have friends the best you will be able to do is put their names in Google/facebook and hope for a match.

Yes it changed a few years back to 3.

DBD is a useful website for certain basic info on companies if you register. eg you can access financials, current status etc.Essentially it compiles info mainly based on the accounts/financial statements

I don't believe it provides access to the shareholder register, based on the info it uses for source.

Probably wouldn't be practical either, as if you think about the thousands of companies that exist and the changes that can take place each day in regards to shares issues, purchases, sales, changes etc. Some companies also have thousands of shareholders which continually change.

Some ways to get info:

1) Primary responsibility for maintaining the share register usually rests with the Company Secretary. If you have the company's contact details then you could contact or visit that person/ company direct.

Given you said that you are about to do business with them I'd say you have a very valid reason for asking this info. I'd be worried to an extent if they won't tell you. It's also reasonable to ask for a copy of their financial statements and say it's part of your normal credit check processes for suppliers and customers. These are perfectly normal and acceptable business requests. If there's 1000's then it's fair enough for them to give you say a Top 10 list

2) If a publicly listed company on the stock exchange you can access details of the top shareholders from the SET website, eg.

http://www.set.or.th/set/companyholder.do?symbol=PTT&ssoPageId=6&language=en&country=US

These are not always up to date, just a snapshot at a point in time but useful for some things. The full register will be electronically maintained somewhere to reflect daily trades

3) The annual accounts/ financial statements might list the financial interests of directors. So if you believe it's a company owned mainly by the directors then reading the notes to the accounts might show that. Small companies may not disclose this though.

4) Companies sometimes show key shareholders on their own websites at specific points in time under something like "investor relations". less common for small private limited companies but possible.

Cheers

  • 2 weeks later...

I looked at a company with seven shareholders and the DBD database shows only the directors.

The single biggest problem in communication is the illusion that it has taken place
