I have been reading this forum for a little while as I will be moving to Bangkok with my Thai wife early next year. Firstly udonjoe I would just like to say thank you for all the good advice you have been giving to various posters on TV.

Secondly I have a specific question for you. You have mentioned that with respect to obtaining a work permit when starting a business that some Departments are ok with 2 Thai employee's whereas others still request 4 employee's. As I will be based in Bangkok do you know if the Department of Labour office there is ok with 2 employee's?

If you have a business with your Thai wife, you only need 2 employees. Otherwise 4 are needed.

Depends on how you set the buisiness up.

You can have either 2 or 4 , borh options can include a WP for yourself.

There are drawbacks to employing only two Thais though , one for instance is you must leave the Kingdom every 90 days for visa purposes.

Whereas with 4 employess you are not required to.

There are quite a few more , but you should choose your accountant and then discuss the options that best suit your buisiness with them.

A quick question N47Han if you don't mind. I have a Non O based on marriage and we have a business in my wife's name. I obtained my visa outside Thailand and I am just required to front up for 90 day reporting. If I get a work permit and my wife has Two Thais registered with the social security department, then why would I have to leave every 90 days if I obtained my visa outside Thailand? Thanks for helping if you can.

Because he was writing about getting an extension of stay based upon working instead of marriage. An extension based upon working requires 4 Thai employees.

You don't have to leave every 90 days, as long as you make sure your extension of stay is based on marriage.

Not sure about the extension based on marrage , but as others have replied its possible then must be so.

A good accountant will be able to set everything up for you.

Budget circa 50k-80k depending on which way you go to set everything up inc. Your wp.

Guys, just another question regarding my wife and the for formation of a company together. I would like her to be classed (as far as the authorities are concerned) as an employee. What type of company structure would allow this? I have read conflicting accounts, some folk say if she is a director than she cannot register with the social fund and be counted as an employee. Any insight on this would be appreciated?

As a director ( assuming she would be the majority share holder/owner of the company ) the info you have been given is correct.

This rule was put in place 2 or 3 years ago. We actually received a refund on the wifes contribution ( she is listed as a director on my companies paperwork ) that the company had paid , which to say the least was a surprise .

Thanks N47HAN, so I guess as I need my wife to count as an employee that I need one of her family members to be a Director/shareholder which should be fine.

With ref to ubonjoe ,

Yes correct if you open a limited partnership and not a Co.Ltd.

Percy as mentioned they are two completley different company formations.

Pros and cons to both depending on the field of buisiness your going to enter into.

Theres also no real need for you to take the full allocation of 49% either.

You can arrange the shares across several members to dilute each directors shareholding along with A and B shares of course.

And this is only my opinion but I feel a valid one , if you have a company thats say for arguments sake is only 25% owned by a foreigner you will fall further below the radar than the 49% owned ones.

No reference to anything not completley legal but there more likely to inspect a 49% company rather than a 25% foreign owned company and just really wouldn't want all the hassle of the inland revenue going through the books with a fine tooth comb.

It company is up to 1 year old 2 is ok but after 1 year u need 4...
