Thailand’s Court of Appeal has dismissed JKN Global Group Plc’s petition for court-supervised business rehabilitation, reversing an earlier lower court decision. The media and content company, founded by Anne Jakrajutatip, faced the appeal from North Haven Thai Private Equity Gemini Co., challenging the initial ruling. This decision marks a significant blow to JKN, which has been struggling with financial issues and high debt obligations.

 

The Central Bankruptcy Court read the appellate decision on December 25, noting that there were insufficient grounds for JKN's business rehabilitation attempt. The company is known for its involvement in content licensing, advertising, and its management rights to the Miss Universe Organization. However, the appellate court identified that JKN’s financial growth relied heavily on bond issuances rather than actual profitability.

 

JKN’s liquidity issues deepened when it defaulted on its eighth bond on September 1, 2023, triggering clauses that made subsequent bonds immediately payable, totaling 3.212 billion baht ($103.5 million). The court noted that despite a liquidity crisis qualifying for rehabilitation under bankruptcy law, the company lacked a viable plan or methods to address its debts.

 

The court dismissed JKN’s argument that investor confidence was affected by Stark Corporation Plc’s collapse, stating the timing was unrelated to their troubles. Governance issues were also highlighted, particularly surrounding the Miss Universe Organization's sale, with outstanding payments and questionable internal financial practices.

 

Anne Jakrajutatip, a leading transgender businesswoman, had already stepped down from JKN following charges by Thailand’s Securities and Exchange Commission. Her acquisition of the Miss Universe Organization in October 2022 was followed by growing financial instability at JKN, reported Khaosod.
