Two long time business associates (one Thai the other European) are considering opening their own travel company.

My question is,

Is it more prudent to open a company at the usual 49/51% share ratio or would establishing a simple and legally binding partnership agreement (drafted by attorneys) offer any additional benefits or disadvantages on my part as a foreigner in Thailand?

Any help and advice would be most welcome.
