Want to open a Private Limited Company - Details required

Hi everyone

I am having marriage Non-O visa married to Thai wife. I want to open a private limited company along with my wife. (However all the investment will be mine).

I will be honored to have some of my questions answered and are as under : -

1. What is the procedure of opening a Private Limited company in Bangkok? What is cost incurred in all the documentation and procedures?
2. As a shareholder of that company as per Thai law how can I have check and balance on the operations/financials of the company without having work permit? I am not interested in work permit at the moment? Am I eligible to see the financials and procedures on the daily basis? In simple as a share holder what are my rights without having work permit.? Is work permit a necessity as being a director of a company?
3. My present visa extension getting expired on 28 Oct 2013. Does visa extension dates effect formation of company or the work permit?

P.S: One thing for sure 51% of the investment that my Thai wife owns will not be secured even though it will be my investment. Any comments or ideas
