Hello, I am setting up a business in Thailand. I told the lawyer I wanted to have my gf 51% owner on "paper". He insisted that he will structure it in a way as to him and I will sign with some other thai and then after a 2 week period we can restructure it with my girlfriend the "paper" thai shareholder and me and my two partners will be 3 foreign shareholders basically having control of the company. Now I signed the papers and it appears like this basically. The lawyer signed off as the manager/director with two other thai shareholders, one holding 11,634 shares and the other holding 5,100 shares. I personally have 3,266 at this point. I guess my question is that I am trusting this lawyer and want to make sure that his is normal before the restructuring of the company???

They could check if the Thai shareholders have proof that they had the money to buy the shares.

Next time ask the question before you sign any papers. :)

sure you have the power to restructure it, seems you are a minority stake holder now, according to the share?
