ED Visa + Owning a Thai Company

Hello , I have a full time ED visa for a private business university, 

I would like to form a company in Thai , with a Thai partner (51%), what would happen for director duties undertaken by me , without the 4 employees just yet + 2 mill paid up capital ? 

Nothing. Those requirements are for issuing yourself work permit. I suggest you or your Thai partner read the law.

Get the correct visa and no problem... working while on ED visa is very restrictive... usually related to only what subject that you are studying

If you work in your company, you need a work permit and a different visa. You won't get the work permit when you don't have the 4 Thai employees.

How are these director duties and the compensation for them defined?

You can perform high level director duties; i.e. attend board meetings and sign documents and annual statement, but you cannot do any physical work.
